PartnerStandard

Terms of Service

Effective date: 2026-11-02

Important: please read carefully. These Terms of Service (the "Terms") are a binding agreement between you ("you", "your") and Bernhard Friedrichs, a sole proprietor (autónomo) registered in Spain with tax ID ESX7526216H and business address at Cowork Up! Puerta del Mar, C/ Cronista Carreres 10, Bajo, 46003 València, Spain, trading as PartnerStandard ("we", "us", "our"). By signing in to the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please note:

1. Definitions

  • "Service" means the PartnerStandard Partner Desk web app at desk.partnerstandard.com and related features.
  • "User" means a person who signs in to the Service with a Google account.
  • "Market" means one country or region and one partner type you recruit partners for, for example "Austria · Reseller". "Partner" means a company you consider as a partner or work with.
  • "Workbook" means a Google Sheets spreadsheet in your Google Drive: the one that holds your Partners, or the one that holds one Market.
  • "Agent" means an AI assistant or another app you connect to the Service, or a tool that uses one of your API keys.
  • "Your Content" means the information in your Workbooks: partners, hypotheses, people, calls, notes, scores, decisions and anything else you add, including text you import from AI assistants.

2. Eligibility and accounts

2.1 Eligibility. You must be at least 18 years old and able to enter into a binding contract. The Service is meant for business use. If you use it for an organization, you confirm that you may bind that organization to these Terms.

2.2 Signing in. You sign in with a Google account.

2.3 Account security. You are responsible for your Google account and for everything done through your account in the Service. Tell us promptly at hello@partnerstandard.com if you think someone has misused it.

3. Free service and future paid plans

3.1 Free today. The Service is currently free of charge. We do not collect payment details.

3.2 Paid plans later. We may introduce paid plans or paid features in the future. If we do, we will tell Users at least 30 days in advance and show prices and terms before you agree. You will never be charged unless you actively choose a paid plan.

3.3 Changes to free features. We may change what the free Service includes. We will give reasonable notice of changes that materially reduce it.

4. Your content and your workbooks

4.1 Ownership. You keep all rights in Your Content and in your Workbooks. We do not claim ownership of them.

4.2 Where it lives. Your Workbooks are stored in your Google Drive, not on our servers. Our database holds only the records described in our Privacy Policy, including each Market’s display name, your company name and events that hold IDs only.

4.3 License to operate the Service. You give us a worldwide, non-exclusive, royalty-free license to access, process, transmit and display Your Content only as needed to run the Service for you. This includes reading and writing your Workbooks. The license ends when you delete your account.

4.4 No sale, no training. We do not sell Your Content. We do not use it for advertising or to train AI models.

4.5 Aggregated information. We may use aggregated counts that do not identify you, such as the number of active Markets, to run, secure and improve the Service.

5. Your Google Drive

5.1 Your permission. By signing in, you allow the Service to create and edit spreadsheets in your Google Drive, as described in our Privacy Policy. You can withdraw this permission at any time on Google’s Third-party connections page. Because the same Google sign-in is shared with other PartnerStandard tools, removing it signs you out of all of them. The Service then stops working with your Workbooks.

5.2 Your files are normal files. You can open, edit, share, move or delete your Workbooks outside the Service. The Service follows those changes where it can. If you edit the ID columns or the hidden _meta tab, or delete a tab, some rows or the whole Market may no longer work in the Service.

5.3 Sharing outside the Service. If you share a Workbook directly in Google Drive, that sharing is under your control and the provider’s terms, not ours.

5.4 Provider availability. The Service depends on Google. We are not responsible when Google’s services, your quota or your organization’s settings stop the Service from reaching your files.

5.5 Backups. Your Workbooks are your record. Keep your own backups if you need them. We cannot restore a Workbook that was changed or deleted in your Google Drive.

6. People at partners

6.1 You decide what goes in. You can add the names, job titles and email addresses of people at companies you consider as partners. This data is stored only in your Workbook.

6.2 Your responsibility. For that data you are the controller under data protection law. You are responsible for having a lawful basis to collect and keep it, for telling the people concerned where required, and for answering their requests, for example to correct or delete their details.

6.3 Emails about a MAP. The Service sends emails only about a Mutual Action Plan (MAP): the link when you choose Send link, and reminders and summaries you have not turned off, and the summary of a review when you choose Send summary. It sends them for you, to people who have an email address in that MAP. You decide whom you add and whether to share the MAP, and you are responsible for having a lawful basis to email them. The Service sends nothing else to the people in your Workbook. Any other contact with them happens outside the Service, under your responsibility.

7. AI assistants, agents and the API

7.1 Prompts you take elsewhere. The Service can build prompts for you to copy into an AI assistant of your choice. The Service does not send them to any AI provider. Your use of an AI assistant is governed by that provider’s terms and privacy policy, and you decide what you share with it.

7.2 Text you import. When you paste a result from an AI assistant, or notes from a call, the Service reads it in your browser and writes what you confirm to your Workbook as plain text.

7.3 Check it. AI assistants can be wrong or out of date, and may name companies or people inaccurately. You are responsible for checking imported text before you rely on it or contact anyone based on it.

7.4 Agents you connect. You can connect an Agent from its own app, with the connector address in Settings under "Agents and API", or make an API key for it there. An Agent acts in your name, with your access and nothing more, so what it does counts as done through your account (section 2.3). With "Read only" it can only read. With "Read and change" it can also make small changes to your work, such as logging a call or updating a MAP activity. People decide: an Agent cannot sign or close a partner, move a stage, or send anything to a partner. It can suggest these, and you make them in the Service. Check what an Agent tells you or changes before you rely on it, as in section 7.3. You can turn an Agent off at any time in Settings, and it stops at once.

7.5 API use. You may use the Service’s API and its connector for AI assistants only through your own API keys or the apps you allowed, and only for your own work. Each API key and each app may make up to 60 requests a minute. Above that, the Service asks it to wait before it tries again. Keep your API keys secret, like a password: anyone who has one acts in your name until you turn the key off.

7.6 Webhooks. If you add a webhook, the Service sends the events you pick to the web address you give, holding IDs only. You choose that address and are responsible for what happens to the requests there. The Service turns a webhook off after 3 days of failed deliveries.

8. Acceptable use

8.1 Lawful use. Use the Service only for lawful purposes and in line with these Terms.

8.2 Prohibited activities. You must not:

  • (a) try to get around rate limits or permission checks;
  • (b) access a Market or Workbook that is not yours, or use someone else’s account;
  • (c) reverse engineer, copy or scrape the Service itself, except where the law allows it;
  • (d) use the Service to harass, mislead or defame anyone;
  • (e) upload malicious code;
  • (f) impersonate another person or misrepresent your relationship with a company;
  • (g) probe, scan or test the Service for vulnerabilities without our written permission;
  • (h) overload the Service or interfere with other users.

8.3 Confidential information. By adding information to a Workbook, you confirm that this does not breach any confidentiality agreement, non-disclosure agreement or other duty you owe to someone else.

9. Methodology content

The Service includes guidance based on the PartnerStandard methodology, such as tips, examples, a discovery call guide, prompts and recommendations. Recommendations and suggested next steps are advice. People decide: you move a partner to its next stage, close a partner, sign and exit. Agents you connect follow the same rule (section 7.4). This guidance is general. It is not legal, financial or professional advice. You decide how to use it and which partners to pursue.

10. Third-party services

The Service relies on third-party services, including Google, Vercel and Turso. Any AI assistant or other app you connect, and any address you send webhooks to, is a third-party service you choose. Their own terms apply to your use of them. A reference to a third party does not mean we endorse it.

11. Service availability

11.1 No service level. We aim to keep the Service available and reliable, but we do not promise any level of uptime or support response time. The Service is provided without a service level agreement.

11.2 Maintenance and interruptions. The Service may be unavailable at times, for example for maintenance, updates, provider outages or reasons outside our control.

11.3 Support. We provide support by email at hello@partnerstandard.com, on a reasonable-effort basis.

12. Changes to the Service

We may add, change, suspend or remove features of the Service at any time. We will give reasonable notice of changes that materially harm Users, where we can. If we decide to shut down the Service, we will tell Users at least 30 days in advance. Your Workbooks stay in your Google Drive.

13. Suspension and termination

13.1 By us. We may suspend or end your access if you materially breach these Terms, if we suspect fraud or abuse, after prolonged inactivity, or where the law requires it. Where practical, we will give you notice and a chance to fix the problem first.

13.2 By you. You may stop using the Service at any time. You can delete your account in the app’s settings or by emailing hello@partnerstandard.com.

13.3 What happens next. When an account ends, we delete the data we hold about it as described in our Privacy Policy. Your Workbooks stay in your Google Drive and remain yours. Sections 4.1, 6.2, 8.3 and 15 to 22 continue to apply.

14. Changes to these Terms

We may update these Terms. We will tell Users about material changes in the Service before they take effect. If you keep using the Service after the effective date of an update, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.

15. Intellectual property

The Service, its software, design, text and methodology content belong to us or our licensors. These Terms do not give you any right to them, except to use the Service as these Terms allow. PartnerStandard® is a registered trademark in Germany. You may not use our names or logos without our written permission.

16. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses and expenses (including reasonable legal fees) arising from:

  • (a) Your Content;
  • (b) your breach of these Terms;
  • (c) your breach of any confidentiality, non-disclosure or other contractual duty to a third party;
  • (d) your violation of any law, including data protection law when you add people to a Workbook or contact them.

17. Warranties and disclaimers

17.1 "As is". The Service is provided "as is" and "as available", without warranties of any kind, express or implied, except those that cannot be excluded by law.

17.2 No guarantee. We do not guarantee that the Service will be uninterrupted, timely or error-free, or that every change will be saved.

17.3 Recommendations. Recommendations and suggested next steps are calculated automatically from the data in your Workbook. They are aids, not judgments, and they may be incomplete or wrong.

18. Limitation of liability

18.1 Excluded damages. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill.

18.2 Maximum liability. Our total liability under these Terms is limited to the greater of (a) €100 or (b) the amount you paid us in the twelve months before the event giving rise to the claim.

18.3 Exceptions. Nothing in these Terms limits liability for death, personal injury, gross negligence, wilful misconduct, fraud, or any other liability that cannot be limited by law.

19. Content disputes

19.1 Notices. If you believe content in the Service violates your rights, write to hello@partnerstandard.com and include (a) the content concerned, (b) the right you believe is violated and (c) supporting evidence.

19.2 Our response. We review notices in good faith and respond within 30 days. Because Workbooks are stored in Users’ own Google Drive, we may forward your notice to the User. We may restrict access to a Market through the Service based on our assessment.

20. Dispute resolution

20.1 Talk to us first. Before starting formal proceedings, both parties agree to try to resolve the dispute through good-faith negotiation. Please write to hello@partnerstandard.com.

20.2 Time limit. Claims must be brought within one year of when they arose, except where the law requires a longer period.

21. Governing law and jurisdiction

21.1 Governing law. These Terms are governed by Spanish law, without regard to its conflict-of-laws rules. If you act as a consumer, the mandatory consumer protections of your country of residence continue to apply.

21.2 Jurisdiction. The parties submit to the exclusive jurisdiction of the courts of València, Spain, except where mandatory consumer-protection law provides otherwise.

22. General provisions

22.1 Entire agreement. These Terms, together with the Privacy Policy and the Imprint, are the entire agreement between you and us about the Service.

22.2 Severability. If any provision is unenforceable, the rest of these Terms remain in effect.

22.3 Assignment. You may not transfer your rights under these Terms. We may transfer ours to a successor in connection with a merger, acquisition or sale of assets. We will tell Users if this happens.

22.4 Waiver. A waiver is effective only in writing.

22.5 Notices. Send notices to us at hello@partnerstandard.com. We show notices to you in the Service, or write to the email address of your account.

22.6 Language. These Terms are written in English. If we provide a translation, the English version prevails, unless the law requires otherwise.
